Welcome to EasyPZ!

These Terms and Conditions ("Terms") govern your access to and use of the EasyPZ mobile application ("App"), including any content, functionality, and services offered on or through the App. By accessing or using the App, you agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference into these Terms.

App Description

The App is designed to help users locate and access public toilets around the city. It is possible that we may also list toilets owned by businesses. While we strive to provide accurate information, we cannot guarantee the accuracy, completeness, or timeliness of any information contained in the App. We reserve the right to modify or discontinue the App (or any part thereof) at any time without notice to you.

Eligibility

The App is intended solely for users who are 18 years of age or older. By using the App, you represent and warrant that you are at least 18 years old.

User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You further agree not to use the App:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App, or which, as determined by EasyPZ, may harm EasyPZ or users of the App or expose them to liability.
• To impersonate or attempt to impersonate EasyPZ, an EasyPZ employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the App, or which, as determined by EasyPZ, may harm EasyPZ or users of the App or expose them to liability.

User Content

The App may allow you to submit reviews, comments, or other content ("User Content"). You grant EasyPZ a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any User Content that you post on or in connection with the App, subject to our Privacy Policy. You represent and warrant that: (i) you own or control all rights in and to the User Content and have the right to grant the license granted above, and (ii) that the User Content is accurate and not misleading and does not violate these Terms or any applicable law.

Disclaimer of Warranties

THE APP AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. EASY PZ DOES NOT WARRANT THAT THE APP OR ANY CONTENT, FEATURE, OR FUNCTIONALITY OF THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EASY PZ DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE APP, OR ANY CONTENT, FEATURE, OR FUNCTIONALITY THEREOF, IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ACKNOWLEDGE THAT YOUR USE OF THE APP IS AT YOUR SOLE RISK.

Limitation of Liability

IN NO EVENT WILL EASYPZ, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE APP, ANY APPS LINKED TO IT, ANY CONTENT ON THE APP, OR SUCH OTHER APPS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Indemnification

You agree to indemnify, defend, and hold harmless EasyPZ, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

Dispute Resolution and Arbitration Agreement

In the event of any controversy, claim, dispute or disagreement arising out of or relating to these Terms or the use of the App, including but not limited to any claim or dispute regarding the interpretation, applicability, enforceability, or formation of these Terms, the parties shall first attempt in good faith to resolve such controversy, claim, dispute or disagreement by mediation. If the parties are unable to resolve the dispute through mediation, then the dispute shall be resolved exclusively by binding arbitration, conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the city or county in which you reside, or in a mutually agreed upon location. The arbitration shall be conducted on an individual basis and not in a class, consolidated or representative action. The arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the state in which EasyPZ is headquartered, without giving effect to any principles of conflicts of law. Any legal suit, action or proceeding arising out of or relating to these Terms or the App shall be instituted exclusively in the federal or state courts located in the county in which EasyPZ is headquartered.

Termination

EasyPZ may terminate these Terms and your use of the App at any time without notice. Upon termination, you must immediately stop using the App and destroy all copies of the App in your possession.

Miscellaneous

These Terms constitute the entire agreement between you and EasyPZ regarding the use of the App. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. Failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. These Terms are binding upon and shall inure to the benefit of each party's respective successors and assigns.
